Jc . Enclosed is the draft contract of sale for purchase of the Kissi ~ r Pra'rie property. I firmly believe that Audubon should purchase all niL e sections now through an installment sale with 29 % down and a f ive year payout as previously recommended. A down payment o ~ the .,; ~• enti r e nine sections at this point in time is a statement of comm ~ ment by Audubon to purchase all of the nine essential sections. l f we purchase three sections now and secure an option on the o : her sections_, we are still going to have to commit the money to buy tl othe r si x sections to establish a reasonable management uniL . If w ~ are forced to go back to the owners to re-negotiate a p : rchase/op : ~ agreement we can expect the price of the first three section s to be boosted plus we should count on paying through the nose for tne s : : sections which would be optioned. Granted, Audubon will incur s ome a d ~tional expense through interest charged on the balance owed . rhe amo r nt o f interest should be insignificant, however, when yLJ cor sider the tact that you will not be able to purchases~ : < sec ti ons und R r an option agreement for the $450 per acre price we now t ave uargained for. In te rms of the contract itself, I would like to draw y,ur att e nti t J s e veral specific areas: 1. In Article XIV dealing with the easement of e g ress and ingress, I placed the extra bur ~ en on the seller to complete the access road. This would cost approximately $2,000 to $3,000 according to local estimates. 2. In Article XVI we have included a section on water management for the purpose of guaranteeing natural flow of water to and from the property. That s e ctio n might be reviewed to make sure we have drawn it tightly enough. 3. Article V concerning the title should be reviewed. 4. Article . XV states that Audubon will conduct a survey to determine the exact acreage upon which the full purchase price will be based. The seller had provided figures on total acreage and I previously reported t~ a t a l l nine sections are in excess of 640 acres accordinq ~o his survey. This survey is to be conducted b e twe e n now and the closing date.

N. Spence (the owners' attorney), Field & Spence, 1441 Dupont Building, Miami, FL 33131. You will note that we have given the owners 10 working days in which to accept the contract (Article XVII).
