OPTION TO PURCHASE THIS CONTRACT, made this 4th day of January, 1982, by and between ROSEK. SMITH, Personal Representative of the Estate of E. R. Smith, Deceased, hereinafter called "Optionor" and NATIONAL AUDUBON SOCIETY, INC., a New York corporation not for profit, whose post office . address is 950 Third Avenue, New York, New York 10022, hereinafter called "Optionee". WITNESS ETH: For and in consideration of the sum of TEN DOLLARS ( $10. 0 0) receipt of which is hereby acknowledged, Optionor hereby grants to Optionee an exclusive option and right to purchase, for the period from January 4, 1982 to January 20, 1982, upon the terms and conditions hereinafter set forth, the following real property in Okeechobee County, Florida, to-wit: The North One-Half (N) of Section 1, together with an exclusive easement for ingress and egress over and across the West thirty (30) feet of the South One-Half (S) of said Section 1, all in Township 34 South, Range 33 East. Terms and Conditions: 1. The purchase price shall be TWO HUNDRED FIFTY THOUSAND DOLLARS ($250,000.00), and shall be payable as follows: The purchase price shall be payable all in cash at closing. 2. Optionee shall exercise this option in writing, either delivered manually or by registered mail . , to Optionor prior to the expiration of this option. 3. Upon the timely exercise of the option to purchase by Optionee, Optionor shall within 30 days deliver to Optionee an Abstract of Title prepared by a reputable abstract firm purporting to be an accurate synopsis of the instruments affecting the title to that real property recorded in the public records of that county to the date of this Option, showing in the Optionor a marketable title in accordance with title standards adopted from time to time by the Florida Bar. In the event that the title to the subject property shall not

be found good and marketable, the Optionor agrees to use reasonable diligence to make said title good and marketable, and shall have reasonable time to do so, and if after reasonable diligence by Optionor said title shall not be made good and marketable within a reasonable time, Optionor shall return all money this day paid and thereupon be released from all obligations hereunder, or upon the request of Optionee, Optionor shall deliver the title in its existing condition. 4. In the event this option to purchase shall not be exercised by Optionee, the option money this day paid shall be forfeited by Optionee and retained by Optionor as liquidated damages. IN WITNESS WHEREOF the Optionor has hereunto set her hand and seal and Optionee has authorized and caused its agent to execute this Option on its behalf the day and year first above written.
