Carter Goodhill Foundation Parker Duryea, Zunio, Malone and Carter 529 Fifth Avenue New York, NY 10017 Dear Ray: I hereby enclose a certified statement from the Assistant Secretary of the Corporation affirming Board action concerning both the acquisition of the Smith property and authorization.for us to enter into a loan agreement with the Goodhill Foundation. Also please find the enclosed signed note in relation to the loan. He have established an account in the Okeechobee ~Bank, P.O. Box 218, Okeechobee, FL 33472--account #080-483-5. We are still aiming to close on February 23. You will notice that everything is in order on the Title with the exception of the tax release from the State of Florida. We were notified yesterday by Conely and Conely that they now have this in their files. Our bank account in Okeechobee was set up in such a manner that only our local attorney, Mr. Tom W. Conely, III and the bank officer, Mr. Charles E. Thompson, have signature authority. If my office could be notified when the money is wired, I will contact Mr. Conely and prepare him for receipt of the funds. Again, we all thank you and the other Goodhill Trustees for the very generous action you have taken in making possible the acquisition of the Smith additionto the Ordway-Whittell Kissimmee Prairie.
